The rules and regulations are subject to changes as the Board of Directors (Executive and Support Committees) deems necessary. If you have any questions about the status of a rule, please contact the Board of Directors' office.

FOREWORD

These Rules and Regulations are issued in agreement with and to complete the INGA Bylaws version 3.0 as amended on September 2006. They cover specific requirements and procedures necessary for the proper administration of INGA Association. They supersede all previous administrative Rules and Regulations.

The Rules and Regulations shall be binding upon every Member of the Board of Directors, upon every Member of Joint Board (the Board of Directors, the Local or Regional Council Coordinators and Special Project Coordinators), and upon every Member of the Association.

Each member is responsible with having knowledge of the existence of the Rules and Regulations and shall be deemed to be familiar with its several provisions and to understand them.

Rule 1.0: DEFINITION

Rule 1.1: Operating rules and regulations apply exclusively to matters pertaining to policies setting and internal organizational operations.

Rule 1.2: These rules and regulations are an addendum to Inga Association's Bylaws and are enforceable as well.

Rule 1.3: Promulgation and Adoption of Rules and Regulations - The Board of Directors shall promulgate and adopt Rules and Regulations.

Rule 2.0: PURPOSE

Rule 2.1: The purpose of operating rules and regulations is establishing policies, practices and actions guide-lines applicable to membership, Joint Board Members (the Board of Directors, the Local or Regional Council Coordinators and Special Project Coordinators), Finances, Election Commission as well as any other body within the organization.

Rule 2.2: The writing of policies, practices and actions guide-lines is the prerogative of the Board of Directors. The Board of Directors may submit to the general assembly (GA), for approval any policy, practice and action guide-line deemed necessary.

Rule 2.3: Any policy, practices and action guide-lines determined by the Board of Directors must be in writing and signed by the President of the Board. It must be communicated through the official chain of command to whomever it concerns, thirty (30) days before its application.

Rule 3.0: DETERMINATION

Rule 3.1: Policies, practices and action guide-lines must conform to the articles of the Bylaws of Inga Association as adopted by the general assembly (GA), as well as to the provisions of the California non profit organizations' law.

Rule 3.2: Copies of any policy, practices and actions guide-lines must be kept at all time by the General Secretary at the business office of the organization for all purposes.

Rule 3.3: Other than matters of general policy, the following are subjects that may require the writing of specific policies, practices and action guide-lines:

1.  Membership and dues schedule

2.  Specification of the Board of Directors duties

3.  Specification of the Local or Regional Council Leaders duties

4.  Specification of the Special Project Coordinators duties

5.  Regular and Special meetings

6.  Activities calendar and Special Events scheduling

7.  Finances

8.  Elections

Rule 4.0: MEMBERSHIP

Rule 4.1: Notwithstanding the stipulation of Article 1, section 1 of the Bylaws of Inga Association, membership into the organization is free and open to any person of Congolese or African origin, and those who identify or affiliate themselves to Congolese or African culture.

Rule 4.2: There shall be no privilege whatsoever in processing or administering membership applications based on nationality, affiliation or any other criteria.

Rule 5.0: MEMBERSHIP DUES

Rule 5.1: Membership dues — The Board of Directors shall evaluate and propose the amount of membership dues for the coming year at the last meeting of the year.

Rule 5.2: Validity of Membership Dues — All membership dues are valid for the current fiscal year they are paid. In case a Member pays more than the membership dues, the difference will be considered as a donation to the Association; there are no rollover.

Rule 5.3: Validity of donations — All donations are valid for the current fiscal year they are donated; there are no rollover.

Rule 6.0: JOINT BOARD MEMBERS

Rule 6.1: Composition - The Joint Board include the Members of the Board of Directors (Executive and Support Committees), the Local or Regional Council Coordinators and Special Project Coordinators.

Rule 7.0: BOARD OF DIRECTORS

Rule 7.1: Composition - The Board of Directors is composed of seven (7) members: Three (3) Executive Committee Members and four (4) Support Committee Members.

Rule 7.2: Executive Committee Members - The President, the General Secretary and the General Treasurer.

Rule 7.3: Support Committee Members - Social Committee Director, Ladies Committee Director, Youth Committee Director. and Children Committee Director.

Rule 7.4: The President - The President is elected by the General Assembly (GA). The other Board Directors are appointed by the Elected President. Each appointment is made accordingly to the criteria specified in the INGA Bylaws.

Rule 7.5: Vacancy of Member of the Board of Directors - If, for any reason, a vacancy shall occur in the Board of Directors the President shall prepare a notice to the Board of Directors asking for suggestion on the appointment of a new Member to fill the unexpired term, in accordance with the provisions of the Bylaws. Such notice shall designate which appointed position is vacant and if not provided by the law, furnish the list from which the appointee is to be selected. After consultation with the Board of Directors, the President shall appoint a new Member to fill the remaining portion oldie term.

Rule 7.6: Vacancy in the office of the President - If the vacancy shall occur in the office of the President, the General Secretary shall prepare the notice to inform the Board of Directors. The General Secretary is entitled to take office for the remaining portion of the term, and according to Rule 7.5, he shall appoint a new General secretary.

Rule 8.0: BOARD MEMBERS DUTIES

Rule 8.1: Subject to the provisions of the California Nonprofit Corporations law and any limitations in the Articles of Incorporation and Bylaws relating to activities required or permitted to be taken or approved by the members of the Inga Association, the following are duties assigned to the Board of Directors specifically here designated:

Rule 8.2: President - The President shall be the executive officer of the Board. When present he/she shall preside over all meetings. lie/She shall appoint such committees as the Board may authorize from time to time. He/She shall sign/approve the reports to the Association, and all other official documents. He/She shall be one of those who sign Association's checks in excess amount set for a second signature person. He/She shall perform all other duties usually pertaining to the office of President and permitted by Law.

Rule 8.3: General Secretary — The General Secretary is the administrator of the organization in charge of planning; managing; marketing and promoting whatever must be done to make the organization successful such as, individual membership files; mailing addresses of members; contacts with the Congolese diasporas; writing meetings/other activities reports; issuing press releases relating to policies, practices and actions guide-lines.

Rule 8.4: General Treasurer — The Treasurer manages the financial resources of the organization: Bank accounts, loans, subsidies; writes and submits grant proposals; solicits donations from individual and institutions; initiates fundraising campaigns; collects membership dues; disburses funds and insures book keeping; signs Association's cheeks.

Rule 8.5: Social Committee Director — The Social Activities Committee Director is the person in charge of social activities and social projects in the community. He/She must be aware of social aspects of any matter related to individual members of the community in particular, and to the whole community in general. He/She must pay attention to legal complexities of these problems in order to help those who may need help. Though he/she is not required to take personal action, providing information and guidance may be important as well.

Rule 8.6: Ladies Committee Director - Ladies in our community are the roots of the families.

The Ladies' Committee Director should be the unifier, the motivator for all Congolese families of the region. This is person should be the eyes and ears of INGA Association as one who cares and should know what is happening in the life of the community; he/she should he aware who's giving birth; who's getting married. He/She establish an annual planning of ladies' promotional activities. He/She is the master person in food planning and preparation when INGA Association holds social events.

Rule 8.7: Youth Committee Director - Youth Committee Director is in charge of identifying and connecting Congolese lower and higher education students with INGA Association. He/She is also to establish strategies for integration and inclusion of Congolese youth in activities and Leadership of the Association. The mission of the Youth Committee Director is to introduce Congolese youth to their culture and open their minds and celebrate African values through music, songs, dances, history, exchanges, etc. He/She shall plan an annual calendar of activities to promote integration and participation of youth to the community at the large.

Rule 8.8: Children Committee Director - Children Committee Director is in charge of identifying and connecting Congolese children with INGA Association. He/She is also in charge to obtain statistics of children born in Congolese families in the region. Similar to the Youth Committee Director, The mission of the Children Committee Director is to introduce Congolese children to their culture and open their minds to African values through music, songs, dances, history, exchanges, etc. He/She shall plans an annual calendar of activities to promote integration and participation of children to the community at the large. During community events, the Children Committee Director is in charge of the organization of children sitting.

Rule 9.0: LOCAL OR REGIONAL COUNCIL

Rule 9.1: Members of the Local or Regional Council, known as Local or Regional Coordinators, assist in implementing the vision, goals, and objectives set forth by the Board of Directors.

Rule 9.2: Composition — Each Local or Regional Council is composed of two (2) Coordinators: Local or Regional Treasurer and Local or Regional Communication Coordinator.

Rule 9.3: Local or Regional Councils — INGA Association counts currently six (6) Local or Regional Councils: Sacramento and vicinity, San Jose/Salinas/Watsonville and vicinity, Fremont/Oakland and vicinity, Antioch/Pittsburg and vicinity, Patterson/Stockton and vicinity, and San Francisco/Hercules/Vallejo and vicinity.

Rule 10.0: LOCAL OR REGIONAL COUNCIL COORDINATORS DUTIES

Rule 10.1: Local or Regional Council Coordinators shall coordinate INGA Association local activities and serve as communication-bridge in their respective local or regional area. They are elected for a two (2) years renewable term by local or regional members.

Rule 10.2: Local or Regional Treasurer— The main responsibility of the Local or Regional Treasurer is to solicit and collect membership dues and donations from members of INGA Association in the respective region of assignment.

Rule 10.3: Collected membership dues and donations have to be reported and sent to the General Treasurer within a week. The report will include: The name of the Member paying, the date the membership dues or/and donations were collected, the amount collected and the mode of payment.

Rule 10/1: Local or Regional Communication Coordinator — The Local or Regional Communication Coordinator shall be the bridge-person between the Board of Directors and local or regional members. He/She shall be informed of all the plans and activities of the Association, and assist the Board of Directors to spread the word and get the local or regional members involved. The Local or Regional Communication Coordinator shall be the eyes and ears of the Association, he/she shall report to the Board of Directors new corners, new born babies, death...

Rule 11.0: SPECIAL PROJECT COORDINATORS

Rule 11.1: When deemed necessary, the Board of Directors may appoint a Special Project Coordinator for a specific project.

Rule 11.2: The appointment of a Special Project shall specifically include responsibilities, duration of the project, and goals.

Rule 11.3: The Appointed Special Project Coordinator shall be under supervision of the Board of Directors; more specifically, under the Committee Director who covers the area of the special project.

Rule 12M: INDEPENDENT ELECTORAL COMMISSION

Rule 12.1: Independent Electoral Commission — The Board of Directors shall appoint an unbiased and Independent Electoral Commission in September of the year of General Elections, 60 days before the General Elections.

Rule 12.2: The Role of the Independent Electoral Commission is to organize, supervise the General Elections, and proclaim the results of the General Elections. The mandate of the Independent Electoral Commission ends when the results of the General Elections are proclaimed.

Rule 13.0: ELECTIONS

Rule 13.1: All offices of the corporate shall be conformed to Article 5, Section 2 of INGA Association's Bylaws.

Rule 13.2: Election - The General Assembly (GA) shall in the last quarter of every other year elect the President of the Association.

Rule 13.3: Candidates at the office of the President may run for office with or without appointed Board of Directors.

Rule 13.4: In case a candidate for the office of the President runs with his/her appointed Board of Directors; if he/she wins the elections, he/she has to maintain that Board; he/she has to comply to Article 4, Section 16 of INGA Association's Bylaws.

Rule 13.5: In case a candidate at the office of the President runs without his/her appointed Board of Directors; if he/she wins the elections, he/she has to submit the Board of Directors he/she selects to the Association (this may be done using the electronic means of communication) for approval. In case the Association does not approve the Board of Directors or individual Board Member, thirty (30) days shall be given to the Elected President to resubmit another Board of Directors or individual Board Member.

Rule 13.6: In case there are no candidates running for the office of the President, if the current President is eligible under provision of Article 5, Section 5(b) of INGA Association's Bylaws, the current President shall automatically take office for a nonrenewable term.

Rule 13.7: In case there are no candidates running for the office of the President, if the current President is not eligible under provision of Article 5, Section 5(b) of INGA Association's Bylaws, the current General Secretary shall automatically take office as an Interim President and organize new elections within a period of six (6) months maximum.

Rule 13.8: In accordance with Rule 12 of this Rules and Regulations, the Interim Board of Directors shall appoint a new Independent Electoral Commission.

Rule 13.9: With provision Article 5, Section 5.h. of INGA Association's Bylaws, the President and the appointed Board of Directors have mandate for a term of two (2) years.

Rule 13.10: After the proclamation of General Elections' results, the elected President has a maximum of thirty (30) days to publish through INGA News the new Board of Directors. If he/she fail to do so, the Joint Board shall start an impeachment process.

Rule 13.11: Term of Office - The term of office shall coincide with the Calendar, January I through December 31.

Rule 14.0: VOTING IN THE BOARD OF DIRECTORS

Rule 14.1: Voting - All Members of the Board of Directors including the President shall be entitled to vote and to make or second motions. A majority vote of those present is required to pass a motion. A Member expecting to be absent for a vote may provide written comments as to his/her position; however he/she may not grant a vote by proxy.

Rule 14.2: In a process of democratic decision making in the Board of Directors, the simple majority is enough. In case of abstinence or absence, the Board of Directors will assume those who don't express themselves agree. This rule apply when the decision making process is in a physical meeting or through INGA Leadership electronic address.

Rule 14.3: In a voting process in the Board of Directors, in case of equal votes, the President has prevalence in making the decision.

Rule 14.4: In case of conflict of interest with a Member of the Board of Directors, the said Member has no voting voice in the decision making process. If this Member is the President, the General Secretary leads the process, and the President has no voting voice.

Rule 14.5: Without prejudice to the principle of majority, when the unity of the Board of Directors is at risk, the President has the responsibility to negotiate peaceful agreements behind the scenes.

Rule 14.6: Discretion and confidentiality are absolute when dealing with different files in the Board of Directors; failing to this rule may cause removal from the Board of Directors.

Community of Congolese and Friends living in Northern California Rule 15.0: REMOVAL AND RESIGNATION

Rule 15.1: All cases of Removal or Resignation shall be conformed to Article 5, Section 3 of INGA Association's Bylaws.

Rule 15.2: Replacement of resigned or removed Member shall be filled as defined by INGA Association's Bylaws, Article 5, Section 4.

Rule 16.0: OFFICIAL ADDRESS AND COMMUNICATION

Rule 16.1: For correspondence and communication purposes, INGA Association has a principal official address, a Board of Directors' electronic address (INGA Leadership), a Joint Board Members' electronic address (INGA Council), an electronic address for all members (INGA News).

Rule 16.2: The two official languages of communication are French (the official language in the D. R. Congo) and English (the official language in USA). When needed, translations shall be made from one to the other language.

Rule 16.3: All correspondence to INGA Association, including requests for information and all submissions and other requests should be addressed to the Board of Directors.

Rule 16.4: Principal Office Address — The Bylaws of INGA Association, in its Article 1, Section 2 states that: "The principal office of the corporation for the transaction of its business shall be located in the county where the General Secretary of the organization lives." All non electronic correspondence to the Association shall be sent to the said address.

Rule 16.5: INGA Leadership's Electronic address — The electronic address of INGA Association is: 1ngaLeadership@yahoogroups.com . All electronic mails intended to the Association shall be sent to the said address. This address is also used as a mean of communication in the Board of Directors. Mails sent through this electronic address are not censored.

Rule 16.6: General Treasurer's Electronic address — For privacy purpose, the General Treasurer has a corporate electronic address. The electronic address of the General Treasurer is: treasureraiingaassociation.ortz . All electronic mails intended to the General Treasurer shall be sent to the said address. Rule 16.7: INGA Council's Electronic address — To facilitate communication in the Joint Board Team, the INGA Council's Electronic address is used. The electronic address of the Joint Board is: IngaCouncil eCoyahoogroups.com . All electronic mails intended to the Joint Board shall be sent to the said address. Mails sent through this electronic address are not censored, but only mails from Members of the Joint Board are allowed to.

Rule 16.8: INGA News' Electronic address — To facilitate communication in the community, any member of INGA Association can use INGA News' electronic address. The electronic address

is: lngaNews@yahoogroups.com . All electronic mails intended to the whole organization shall be sent to the said address. Mai ls sent through this electronic address are all censored; the General Secretary shall verify the content of every mail and decides to approve, delete or reject it.

Rule 16.9: Messages received from INGA News, not signed in official title by the Board of Directors, or Local or Regional Coordinators, or Special Project Coordinators are those of the authors and do not necessary represent INGA's view.

Rule 16.10: Members of the Board of Directors/Joint Board shall treat ALL information exchanged/shared electronically or in meetings in a confidential manner.

Rule 16.11: Confidential information that is special to the Board of Directors/Joint Board is an asset and must be protected and shared only with specific people/businesses who need to know the information to do work for INCA Association.

Rule 16.12: Failing to comply to confidentiality Rules above may result to disciplinary action or removal.

Rule 17.0: REGULAR AND SPECIAL MEETINGS, ATTENDANCE

Rule 17.1: The Board of Directors shall schedule at least four regular Board of Directors' meetings each year, one in each calendar quarter.

Rule 17.2: Regular and Special meetings of the organization must be held accordingly to the provisions of Article 4, Section 7,8,9,10,11,and 12 related to Regular Meetings, as well as Section 14 and 15 of the Bylaws of INGA Association pertaining to the Conduct of Meetings.

Rule 173: Attendance - The Board of Directors/Joint Board Members shall attend all regular or special meetings unless prevented from doing so by reason of court order, business which has the sole prerogative of setting the date of such business, death of a family member, or illness of the Board of Directors/Joint Board Member, or illness of the member's immediate family. An absence for any other reason constitutes an unexcused absence.

Rule 17.4: Absence - No Board of Directors/Joint Board Member may be absent from three consecutive meetings or be absent from more than three meetings during a single fiscal year unless the absence is excused for one of the reasons stated in Rule 13.3 of these rules. In the event a Board of Directors/Joint Board Member has three consecutive unexcused absences or has unexcused absences for more than three meetings during a fiscal year, the Board of Directors/Joint Board Members shall petition the President to remove said Member and to appoint a successor.

Rule 17.5: "Family" consists of immediate family, nieces, nephews, aunts, uncles, cousins, and

Rule 17.6: "Immediate family" consists of spouse, children, parents, parents-in-Law, siblings, grandchildren, and grandparents.

Rule 17.7: Special Meetings - Special meetings may be held as needed or as called by any Member of the Board of Directors/Joint Board or a quorum of the Board of Directors/Joint Board, in accordance with Rule 13.2.

Rule 17.8: The General Secretary of the organization must give notice and provide the participants of every meeting with necessary documentation of the subjects on the agenda at least seven (7) days in advance. Failing to do so can be construed as a sign of automatic cancellation of the meeting.

Rule 17.9: None is allowed to address the meeting unless he/she has been recognized by the Chair/Moderator of the meeting and given permission to speak until the chairperson orders otherwise.

Rule 17.10: All participants at the meeting are required to pay attention and respect to whomever is given permission to speak by the chairperson. Interruption of the speaker can be cause for exclusion from the meeting after three (3) warnings from the chairperson.

Rule 17.11: The chairperson may require in some circumstances that only those participants who have provided written observations on documentation send in advance by the General Secretary of the organization will be allowed to speak. In that case, participants must be told at least seven (7) days in advance to provide their observations in writing.

Rule 17.12: The General Secretary must, at the end of every meeting, give a brief recapitulation of the decisions taken during each meeting to insure that no dispute occurs afterwards.

Rule 17.13: Reports of every meeting or event must be circulated to the participants of the meeting or event days before the convening of the next meeting or event. All observations or complaints related the report must be written and sent to the General Secretary seven (7) days following the reception of the report in dispute.

Rule 17.14: Written observations and complaints are to be part of the General Secretary presentation during the meeting and any change or alteration of the report must be agreed by all participants at the meeting in dispute

Rule 18.0 NOTICE OF MEETING

Rule 18.1: The last item of business at each meeting will be to agree upon and schedule the tentative dates and place of the next meeting. Each member shall be e-mailed a notice via Leadership/Council e-mail Group at least seven (7) days prior to the date of the meeting. The Board of Directors shall furnish written notice of any meeting to the community via INGA News.

Rule 18.2: Call for a special meeting under emergency conditions may be issued by telephone by the Board of Directors.

Rule 18.3: Order of Business - The order of business at all regular and special meetings shall normally be as recommended by the Board of Directors and at the pleasure of the chairperson/Moderator of the meeting.

Rule 19.0 QUORUM

Rule 19.1: Quorum The quorum in Board of Directors/Joint Board Members meetings shall be in accordance with Article 4., Section 12. of INGA Bylaws.

Rule 20.0: OPEN MEETINGS

Rule 20.1: In compliance with Open Meeting Laws of the State of California and for transparency purpose, members of the general public of the Association are welcome to attend meetings of the Board of Directors/Joint Board Members. The Board of Directors has adopted the following rules of conduct for members of the general public of the Association attending meetings of Board of Directors/Joint Board Members:

Rule 20.2: Members of the public of the Association are requested to register with the Board of Directors at least a week before the meeting. Organized groups must have one (1) spokesperson.

Rule 20.3: Upon request, an individual or a spokesperson will be allowed to address the Board of Directors/Joint Board Members. Speaking time is limited to 10 minutes, unless extended by the presiding officer.

Rule 20A: When the Board of Directors/Joint Board Members votes to go into Executive Session, all members of the general public of the Association must leave the meeting room; they will be advised when they may re-enter.

Rule 20.5: Members of the general public of the Association shall behave in a calm, professional manner. Failure to comply with these rules will be grounds for dismissal from the meeting.

Rule 20.6: If members of the public of the Association require special provisions accommodating a qualifying temporary or permanent disability in order to attend a Board of Directors/Joint Board Members meeting, a written request identifying the disability and accommodations needed must be submitted to the Board of Directors thirty (30) days before the meeting. If this request is not submitted in advance, the availability of on-site accommodations is not guaranteed.

Rule 21.0: FINANCES

Rule 21.1: Three (3) members of the Board of Directors shall have access to the Association's bank account(s): The Treasurer, the President and a third Member designated by the Board of Directors.

Rule 21.2: Funds raised at various events shall be verified by at least three (3) witnesses, the Treasurer or his/her Delegate, another Member of the Board of Directors and a non Member of the Board of Directors. Within forty eight (48) hours, the Treasurer will report to the Board of Directors the financial outcomes of the event, i.e. the dollar amount raised and the witnesses present when the funds were verified.

Rule 21.3: When the Association has gathering events with entry cost like Independence Day, New Year Party, two (2) to three (3) people appointed by the Board of Directors shall be at the door to collect entry's fees. Rule 21.2 applies for verification of raised funds at the end of the event.

Rule 21. 4: All the INGA Association funds need to be kept in the Association's bank account(s). Every withdrawal shall be justified and documented. None of the Association's fund shall be used for personal purposes.

Rule 21.5: An internal audit of the Association's finances may be initiated; in such case, the Board of Directors designates an authorized commission of three (3) members: A Member of the Board of Directors and two non Members of the Board of Directors. The Treasurer shall always be ready to be audited.

Rule 22.0: FINANCING COMMUNITY EVENTS

Rule 22.1: The Association shall not burdens members with making purchases for Association's events without members' agreement. The Association shall provide needed finances to volunteers who agree to help with various preparations for events. Receipts justifying expenses must be provided to the Treasurer.

Rule 22.2: When arrangements are made upfront, the Treasurer shall reimburse the expenses made upon presentation of receipt(s).

Rule 23.0: ACTIVITIES CALENDAR AND SPECIAL EVENTS

Rule 23.1: Subject to the provisions of the California Nonprofit Corporations law and any limitations in the Articles of Incorporation and Bylaws relating to activities required or permitted to be taken or approved by the members of INGA Association, any activity occurring annually or periodically in the life of the organization, provided that its approved by the General Assembly (GA), must figure into a general calendar which can be considered as a road map, showing tentative date, location, planners, budget, objectives and audience.

Rule 23.2: A space shall be provided on the Association's website for Activities calendar and Special Events.

Rule 23.3: This calendar has to be reviewed and amended yearly by the Board of Directors and made available to the membership who may or may not require approval. The calendar will include but not limited to occurrences such as: Christmas, New Year's Eve, National Independence Day, Thanksgiving, Labor's Day, President's Day, Honor Awards' Day, Martyr's Day, etc.

Rule 23.4: Special Events are activities that do not occur annually or periodically. Such events may or may not be predicted nor planned in advance.

Rule 24.0: SEAL OF THE ASSOCIATION

Rule 24.1: The Board of Directors shall adopt a seal to be used where required or as appropriate.

WRITTEN CONSENT OF THE BOARD OF DIRECTORS MEMBERS ADOPTING THESE OPERATING RULES AND REGULATIONS

We, the undersigned, are all the persons named below as the current serving Directors of the INGA ASSOCIATION, a California nonprofit corporation, and, pursuant to the authority granted to the Board of Directors by these Operating Rules and Regulations to take action by unanimous written consent without a meeting, consent to, and hereby do, adopt the foregoing Rules and Regulations, consisting of sixteen (16) pages including the signature page of INGA Association Rules and Regulations.

Pursuant to present Rules and Regulations as adopted by current Board of Directors, signed under the current titles of the Directors; effective May I, 2009, version 1.0 of the new INGA Association Rules and regulations take effect.
